Software AG shareholders elected new representatives to
the Supervisory Board today at the company's Annual Shareholders' Meeting. Upon
the upcoming entry into the trade register of the change to the articles of incorporation
that was decided upon at the Annual Shareholders Meeting, Software AG's new Supervisory Board will consist
of the following members:

Software AG employees had elected
their representatives to the Supervisory Board on May 7, 2015, as follows:

Furthermore,
all other resolutions proposed by the Management Board and Supervisory Board
were approved at the Annual Shareholders' Meeting. These included a dividend
payout in the amount of €0.50 (2014: €0.46) per common share for fiscal 2014.
Based on 78.9 million (2014: 78.9 million) dividend-bearing shares, the total
payout sum will be approximately €39.5 million (2014: €36.3 million). Based on
the average net income and free cash flow, the dividend payout ratio will
increase to 32 percent (2014: 25 percent). This is equal to a dividend yield of
about 2.5 percent based on the 2014 closing share price.
